Licensing
This Licensing Policy outlines the ownership, usage rights, and limitations associated with the intellectual property created and/or made available by UXperiment Inc. (“UXperiment”, “we”, “our”, or “us”). By using this website or engaging in any service or deliverable provided by UXperiment, you (“Client”, “User”, or “Visitor”) agree to the terms outlined below.

Intellectual Property Ownership
Unless otherwise stated in a written and signed agreement:
- All intellectual property, including but not limited to visual design assets, code snippets, website copy, user interfaces, digital graphics, branding material, documentation, and research insights created by UXperiment, remains the sole and exclusive property of UXperiment.
- This includes all original content available on our website (e.g., text, visuals, blog posts, downloadable templates, design systems, and toolkits), regardless of format or method of distribution.
UXperiment’s intellectual property is protected under applicable international copyright treaties (including the Berne Convention) and national laws in each client’s jurisdiction. Unauthorized use of our content or deliverables may be subject to legal action in multiple jurisdictions where infringement occurs.
We do not assign ownership of any intellectual property unless explicitly stated and agreed upon in a separate written contract.
Scope of Use for Clients
Upon full payment and completion of the project, clients are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the final deliverables solely for the agreed-upon purpose defined in the project scope or service agreement.
What’s included in this license (unless otherwise stated):
- Use of final design deliverables (e.g., interfaces, wireframes, branding visuals) for digital and print usage related to the client’s business operations.
- Integration of UI/UX designs into a software product or website developed by or on behalf of the client.
What’s excluded:
- Any reuse, resale, or reproduction of deliverables for purposes outside the scope of the original project.
- Any modifications or derivative works without our review and written consent.
- Access to or ownership of working files, raw source files (e.g., layered PSDs, editable Figma files, or research notes), unless explicitly included.
Website Content & Public Resources
All website content, including but not limited to: articles, taglines, design systems, methodologies, sustainability research, case studies, and downloadable materials, are:
- Copyright © UXperiment Inc.
- Protected under international intellectual property laws.
- Provided strictly for personal, non-commercial use unless a commercial license is purchased or a usage agreement is signed.
Redistribution, reproduction, modification, or public display of our content without prior written consent is strictly prohibited.
Prohibited Activities
You agree not to:
- Copy, reproduce, modify, publish, distribute, publicly display, or exploit any part of our work or website content without express authorization.
- Use our materials or branding in a manner that falsely suggests association, endorsement, or affiliation.
- Reverse-engineer, extract, or replicate UXperiment’s proprietary methods, systems, or designs for commercial benefit.
- Provide access to deliverables to third parties without our consent.
Use by Third Parties (Developers, Agencies, Partners)
If a third party (e.g., developer, marketing agency, or subcontractor) is engaged by the client to implement or extend the deliverables:
- The client must ensure the third party complies with all licensing terms herein.
- UXperiment is not liable for any unauthorized modifications, misuse, or infringement carried out by third parties.
- Any third-party involvement must be disclosed during project discussions or before deployment.
Transfer of Rights
Transfer of copyright or exclusive rights must be:
- Expressly stated in writing,
- Signed by both parties,
- Accompanied by a separate fee or licensing agreement.
No rights or ownership shall be considered transferred implicitly or through payment alone.
Duration & Termination
Licenses are granted indefinitely unless:
- Terminated in writing due to breach of agreement.
- Replaced or superseded by a new contract or licensing agreement.
Upon termination, you must cease using the licensed materials and, if requested, return or destroy any copies.
Disclaimer of Warranties
All work is delivered as-is without warranties of any kind, either express or implied. UXperiment disclaims all liability for any loss, interruption, or damage resulting from the use or misuse of our deliverables, website content, or third-party dependencies.
Cross-border Use and Restrictions
lients are responsible for ensuring that use of deliverables complies with local regulations, including but not limited to accessibility standards, privacy laws (e.g., GDPR, PIPEDA, CCPA), and claims regarding sustainability or AI usage. UXperiment is not liable for misuse or non-compliance outside its jurisdiction.
Limitation of Liability
To the fullest extent permitted by law:
- UXperiment shall not be liable for any indirect, incidental, punitive, or consequential damages.
- Our total liability in connection with any project or use of licensed materials shall not exceed the fees paid by the client for the specific work in question.
Governing Law
UXperiment is a globally operating company, and we work with clients across multiple jurisdictions. This Licensing Policy shall be interpreted and enforced in accordance with:
- The laws of the Province of British Columbia, Canada, where UXperiment is incorporated; and
- The applicable laws of the client’s country or jurisdiction, where the services are received and used.
In the event of a dispute, the governing law will default to the jurisdiction where the client is legally established or primarily operates, unless otherwise specified in a separate agreement. UXperiment reserves the right to enforce its intellectual property rights in any jurisdiction where infringement occurs.
